Corporate Governance

The German Corporate Governance Code (the "Code"), which has been in force since
30 August 2002, primarily addresses listed corporations. Its purpose is to enhance transparency for domestic and international investors regarding the German regime for company management and monitoring. The German Government Commission reviews the Code annually, against the background of national and international developments, and will amend it if necessary.

As a leading specialist in international transport finance, DVB feels obliged to adhere to the principles of responsible corporate governance. It adheres to the Code as amended on 6 June 2008 in making its business decisions more transparent for shareholders, employees, business partners and the general public. To accomplish this, the Board of Managing Directors and the Supervisory Board regularly review the Code's recommendations and how DVB is implementing them.

The following sections outline DVB's corporate governance.
